Schalast | The law firm
Since founding Schalast Law | Tax more than 26 years ago, we offer our national and international clients first-class service, outstanding expertise, personal advice and representation. This approach enables tailor-made M&A support, financial and capital market transactions as well as advice on all corporate, labor and commercial law issues.
In the area of M&A we have been advising the management teams of medium-sized (small and mid-cap) and large companies on private equity transactions as well as partnerships and corporations on all corporate law questions - nationally and internationally.
Our Banking & Finance-Team advises companies in the financial industry (banks, payment institutions, financial services institutions, insurance companies, FinTech companies, etc.) as well as other companies that come into contact with banking law issues. In this broad field, we provide support in financial and capital market-oriented transactions, advise on banking and securities regulatory issues, conduct litigation before state courts and arbitration tribunals and develop innovative financial products and business concepts together with our clients.
We have particular expertise in advising FinTech companies as well as in acquiring, servicing and selling large-volume loan portfolios, be they non-performing or not.
Another focus of our advice is labor law both in general advice to our clients and in supporting transactions. In particular, collective law issues and issues with a restructuring background are covered.
Our consulting activities in the field of IP, media & technology include in particular the legal areas of trademark law, broadcasting law, license law, copyright, IT law, data protection law, design law, media law, press law, publishing law, sports law, entertainment law, Internet law and all other topics in connection with intellectual property (IP).
Our Communications & Infrastructure practice group has developed from our many years of transaction practice in the multi-media-, cable and telecommunications industries, giving our clients access to outstanding industry expertise beyond transaction structuring. Our consulting focus today is in the areas of telecommunications and energy.
Tax law fulfills a crucial function within the framework of numerous mandates, especially for the transaction business, i.e. in the context of banking & finance, corporate law, M&A and real estate). In addition, we deal with special tax law topics such as investment tax law, financial transaction tax law or support in tax court proceedings. Another focus is US tax law (especially QI law).
If it is necessary to safeguard the interests of our clients, the expertise of our Dispute Resolution Practice Group is available to you. Schalast has many years of experience in all state and international litigation in several jurisdictions, arbitration proceedings according to various arbitration rules and alternative dispute resolution methods such as mediation.
Not only transactions require excellent corporate and commercial law know-how, companies’ ongoing business activities also require professional support. If our clients wish, we provide lawyers for on-site project-related activities as part of secondments.
These services are supplemented by an efficient notary's office that specializes in complex legal notarizations as well as German and international real estate transactions. In mid-2017, Schalast also took over the legal tech and legal outsourcing service provider CLARIUS.LEGAL (https://clarius.legal/).
Schalast is a member of the international network MULTILAW. The network is represented by over 10,000 lawyers in over 100 of the most important jurisdictions worldwide. Member firms are carefully selected according to a strict qualification process and monitored on an ongoing basis. This enables Schalast to seamlessly offer its clients cross-border consulting and representation concepts from a single source.
Our international expertise is also shown in the fact that we have been advising German and European/international institutions, ministries and governments in Central and Eastern Europe, the Mediterranean region and Central Asia on legal reform, in particular on deregulating and modernizing national commercial law, since our foundation.
